Logos Circles - Volunteer Terms and Conditions

These terms and conditions (“Terms”) govern your participation as a volunteer with the Logos Circles volunteer programme (“Volunteer Programme”). The Terms are an agreement between you (as the “Volunteer”) and Logos Collective Association, an association with a registered address of Baarerstrasse 10, 6302 Zug, Switzerland.
Whenever “Logos” or “we” are used in these terms, we’re referring to the Logos Collective Association.
Eligibility and approval
To participate in the Volunteer Programme, you must fulfill at least the following conditions:
be at least eighteen years old;
have provided any information requested by Logos for the purposes of your participation in the Volunteer Programme;
Certain volunteer roles may have additional eligibility criteria depending on the nature of the role. Logos will have sole discretion to determine your suitability and eligibility to participate as a Volunteer.
Obligations of the Volunteers
By participating in the Volunteer Programme, you shall comply with these Terms while you are a Volunteer. In addition, you are obliged to conduct yourself in the following manner:
(i) Comply with all applicable laws, rules, regulations in your jurisdiction, as well as any Logos policies and instructions provided as part of the Volunteer Programme;
(ii) Conduct yourself respectfully and professionally, avoiding any conduct that may harm Logos, its reputation, or others associated with the Volunteer Programme and any third parties;
(iii) Not to represent yourself as an employee, agent, contractor of Logos, and to clearly indicate your status as a Volunteer where appropriate;
Participation as a Volunteer
You are participating in the Volunteer Programme in your personal capacity as a volunteer and not as an employee or contractor of Logos.
Nothing in these Terms will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Logos. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement that could be reasonably understood to contradict anything in this clause.
You acknowledge that your participation in the Volunteer Programme is undertaken at your own risk. You are responsible for your own safety and well-being while volunteering. Logos does not provide insurance coverage for volunteers and accepts no liability for any injury, loss, or damage you may incur in connection with your participation, except where liability cannot be excluded under applicable law.
No payment or compensation will be provided to you in connection with your participation in the Volunteer Programme. Logos however may, in its sole discretion, provide support to you, monetary or otherwise, to facilitate your participation or to further the purpose and activities of the Volunteer Programme.
As a volunteer, you are free at all times to volunteer for other persons or organisations other than Logos.
Intellectual Property
Logos Intellectual Property
Logos may share certain promotional materials with Volunteers, such as banners, logos or otherwise (“Promotional Materials”) for use in connection with your participation in the Volunteer Programme. You shall only use such Promotional Materials only within scope of your activities in the Volunteer Programme and not for personal or unrelated uses.
Unless stated otherwise, Logos or its affiliates’ owns all copyrights, domains, trade dress (look and feel), design rights and themes, trademarks, logos, graphics, and other intellectual property rights associated with Logos and the Promotional Materials (“Logos Intellectual Property”).
To the extent you have received Logos Intellectual Property in your role as a Volunteer, you shall comply with any Logos guidelines or direction in its use. In any event, you shall not use any Logos Intellectual Property or refer to Logos, its products, business, owners, employees or contractors in any manner that is disparaging, misleading, obscene, or that otherwise portrays any of the foregoing in a negative light.
Licence
During your participation in the Volunteer Programme, you may create works, content, or other materials that Logos may wish to use. Accordingly, you agree that all works, content, or other materials that you create, develop, or contribute to within the scope of the Volunteer Programme (“Volunteer Intellectual Property”) shall be licenced by you to Logos and to the public under the Creative Commons Attribution-ShareAlike 4.0 International License (CC BY-SA 4.0).
This means that Logos, and any third party, may use, share, adapt, and build upon the Volunteer Intellectual Property for any purpose, including commercial purposes, provided that appropriate credit is given to you as the author and that any derivative works are distributed under the same or a compatible licence. You acknowledge that this licence is perpetual, worldwide, royalty-free, and irrevocable.
Representations and warranties
You hereby represent and warrant to Logos that:
(i) You have the full right, power, and authority to enter into and be bound by the Terms and to perform your obligations under these Terms, without the approval or consent of any other party;
(ii) the Terms will constitute a valid and binding obligation upon you, enforceable in accordance with its terms; and
(iii) that the information you have provided to Logos is true, accurate and complete in all material respects.
Indemnification
You shall indemnify and hold harmless Logos, against any and all damage, loss, claims, liabilities, expenses, demands or proceedings (including without limitation reasonable expenses of investigation and legal fees and disbursements incurred on a solicitor and client basis in connection with any action, suit or proceeding) resulting from, a) any negligent act or wilful misconduct or fraud committed by you; b) your failure to comply with applicable laws; c) your breach of these Terms.
Limitation of Liability
Logos will not be liable to you for any loss or damages suffered by you as a result of your participation in the Volunteer Programme, providerd that such action or omission did not constitute gross negligence, wilful misconduct or fraud. Without prejudice to the aforementioned, the maximum aggregate liability of Logos under the Terms whether in contract or otherwise, will not exceed USD 100.
Termination
Either party may terminate these Terms at any time by providing the other party with fifteen (15) days’ prior written notice.
Upon termination, you must immediately cease all volunteer activities and remove, delete or destroy any Logos Intellectual Property in your possession.
Logos may, in its sole discretion, with or without cause, terminate your participation in the Volunteer Programme by providing written notice if Logos has determined that you have breached these Terms.
In addition, Logos may, in its sole discretion and for any reason, cease the Volunteer Programme at any time, with or without notice.
Governing law and disputes
These Terms are governed by and will be construed in accordance with Swiss laws.
The Parties shall make commercially reasonable efforts to reach an amicable settlement concerning any dispute arising out of or in connection with this Agreement. Provided that the Parties have failed to reach an amicable settlement, the Parties will refer to and finally resolve the dispute through an arbitration administered by the Swiss Chambers' Arbitration Institution in accordance with the Swiss Rules of International Arbitration for the time being in force, which rules are deemed to be incorporated herein by reference. The arbitral decision may be enforced in any court. The arbitration will be held in Zug, Switzerland, and may be conducted via video conference virtual/online methods if possible. The tribunal will consist of one arbitrator, and all proceedings as well as communications between the parties will be kept confidential. The language of the arbitration will be in English. Payment of all relevant fees in respect of the arbitration, including filing, administration and arbitrator fees will be in accordance with the Swiss Rules of International Arbitration.
Miscellaneous
We reserve the right to modify the Terms at our sole discretion. If any modification is unacceptable to you, your only option is to cease your participation in the Volunteer Programme. Your continued participation in the Volunteer Programme following the posting of any such modifications will indicate and confirm your agreement to such modifications.
